NGX Suspends Universal Insurance Shares Following NAICOM Operating License Revocation

Nigerian Exchange Limited (NGX) has suspended trading in the shares of Universal Insurance Plc, effective Thursday, August 20, 2026.

The regulatory action directly follows the National Insurance Commission’s (NAICOM) cancellation of the company’s operating license due to its failure to satisfy prescribed Minimum Capital Requirements (MCR) within the statutory recapitalization window.

Effective August 14, 2026, NAICOM exercised powers under the Nigerian Insurance Industry Reform Act (NIIRA) 2025 to revoke the insurer’s certificate of registration and appointed Ogbonna Chukwumerije (Partner at Pinheiro LP) as Receiver/Provisional Liquidator to take over its management, secure assets, and verify outstanding liabilities.

Capital Recapitalization Gap & Regulatory Enforcement

Prior to the license cancellation, Universal Insurance had secured shareholder approval for a ₦7.13 billion equity injection involving a strategic investor seeking a 50.1% controlling stake. However, the transaction was not concluded before NAICOM’s July 31, 2026 recapitalization deadline expired.

  • Liquidation Directives: The Receiver has directed all banking and financial institutions not to honor payment mandates, withdrawal requests, or transfer instructions issued on behalf of Universal Insurance unless explicitly authorized under his seal.

  • Policyholder & Creditor Claims: The liquidator will conduct a comprehensive verification exercise across assets, outstanding policyholder claims, and creditor obligations to determine orderly liquidation payouts.

  • Precedent for Capital Discipline: The enforcement action underscores NAICOM’s strict stance under the NIIRA 2025 regulatory regime, signaling that proposed capital raises without finalized regulatory sign-off will not prevent statutory liquidation.
